Terms and Conditions for Use of On-line Service

By signing on to the system you are agreeing that you have read, understand, and accept as a condition of use the Terms and Conditions document.

TERMS AND USE AGREEMENT

Welcome to the InforMed, LLC (“InforMed”) online service web site (the “Online Service”). The Online Service is offered for your use subject to your acceptance, without modification, of the terms and conditions set forth in the following agreement (this “Agreement”). Please read this Agreement carefully. Your use of the Online Service constitutes your acknowledgement that you have read and agree with the terms and conditions of this Agreement.

InforMed hereby grants to you a non-exclusive, non-transferable right to use the Online Service as permitted by these Terms and Conditions. Except for the usage rights expressly granted here, InforMed shall retain all right, title, and interest in and to the Online Service and all intellectual property rights embodied in or evidenced by the Online Service. This Agreement grants no express or implied license, right or interest in or to any copyright, patent, trade secret, trademark, invention or other intellectual property rights of InforMed other than the express right to use as set forth above. You shall not sublicense, assign, lease, market, transfer, encumber or suffer to exist any lien or security interest on the Online Service, nor shall you take any action that would cause the Online Service to be placed in the public domain. You acknowledge that the Online Service employs confidential methods, data, concepts and other information considered by InforMed to be proprietary and confidential and to contain valuable trade secrets. You agree to hold all confidential information pertaining to the Online Service in confidence for InforMed and shall protect the same with at least the same degree of care, but no less than reasonable care, with which you protect your own most sensitive confidential information. You shall use the confidential information of InforMed solely in connection with its usage rights under this Agreement, and shall restrict disclosure of and access to the Online Service, and confidential information contained therein, to such of your employees who require access to such confidential information in connection with this Agreement. You shall require your employees to comply with the obligations of confidentiality set forth herein and shall be liable for any employee’s failure to so comply. You shall not translate reverse-engineer, reverse compile or decompile, disassemble, or make derivative works from the Online Service or underlying software (the "Software"). If you suggest new features or functionality that InforMed, in its sole discretion, adopts and implements in the Online Services or Software, such new features or functionality will be the sole and exclusive property of InforMed. You shall not remove, or allow (through act or omission) to be removed, any copyright, trade secret or other proprietary rights notice from the Online Services, data or reports generated from the Online Service.
